Agreement and scope

These Terms of Use ("Terms") are a binding agreement between you and Southern California School of Interpretation, through SCSI Testing and its SABIO platform ("SCSI," "SABIO," "we," "us," or "our"). They govern your access to the SABIO website, applications, assessments, reports, certificates, content, and related services (collectively, the "Services").

By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind it, and "you" includes that organization. If you do not agree, do not use the Services.

Eligibility and accounts

You must be at least 18 years old and legally able to enter into this agreement, unless your participation is authorized by a parent, legal guardian, school, or other sponsoring organization in a manner permitted by law and approved by SCSI.

You agree to:

• provide accurate, current, and complete account information;
• use only the account and assessment access assigned to you;
• keep credentials, access codes, and assessment links confidential;
• promptly update information and report suspected unauthorized use; and
• accept responsibility for activity under your account to the extent permitted by law.

We may require identity or eligibility verification. You may not create an account for another person, impersonate anyone, or transfer an account without written authorization.

Limited license and acceptable use

Subject to these Terms and any applicable customer agreement, SCSI grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to use the Services for their intended assessment or administrative purpose.

You may not, and may not help another person to:

• violate law, another person's rights, or assessment instructions;
• copy, scrape, download, reproduce, distribute, publish, sell, sublicense, or commercially exploit the Services or assessment content except as authorized;
• reverse engineer, decompile, discover source code, extract models, probe, benchmark, or use outputs to build or train a competing service, except where a restriction is prohibited by law;
• bypass access, rate, security, proctoring, or integrity controls, or test the vulnerability of a system without written permission;
• upload malware, disrupt the Services, automate access without approval, or place unreasonable load on the platform;
• submit unlawful, infringing, deceptive, harmful, or unauthorized content; or
• use the Services to make an unlawful discriminatory decision.

Organization and administrator responsibilities

An organization that purchases, assigns, administers, or uses an assessment is solely responsible for its independent decisions and for ensuring its use of SABIO is lawful and appropriate. The organization must:

• have a lawful basis and all permissions needed to provide participant data, administer assessments, and receive results;
• give legally required notices and obtain consent where required, including for recordings or automated processing;
• provide a process for disability, language, technical, religious, and other legally required accommodations;
• use qualified personnel and meaningful human review when results inform employment, education, licensing, or another consequential decision;
• evaluate the assessment for its intended use, monitor outcomes, and comply with employment, civil-rights, accessibility, consumer-reporting, biometric, privacy, and other applicable laws; and
• protect account access, reports, candidate information, and exported data.

SCSI does not act as an employer, employment agency, school admissions office, licensing authority, or legal adviser for a sponsoring organization.

Assessment integrity and confidential materials

Assessment content, question banks, prompts, scoring criteria, access codes, and related materials are confidential and proprietary. Unless SCSI expressly permits it, you may not:

• receive or provide unauthorized assistance;
• use prohibited people, devices, software, references, AI tools, or materials;
• record, photograph, transcribe, copy, memorize for redistribution, publish, disclose, or reconstruct assessment content;
• take an assessment for another person or allow someone to do so for you;
• reuse, share, buy, sell, or solicit questions or answers; or
• interfere with integrity monitoring or provide false identity information.

We may investigate suspected violations and preserve relevant evidence. Subject to applicable law and customer agreements, consequences may include pausing or ending a session, invalidating or withholding results, revoking a certificate, suspending access, notifying a sponsoring organization, and pursuing legal remedies.

AI-assisted results and appropriate use

SABIO may use automated systems, including artificial intelligence, to analyze responses and produce scores, proficiency indicators, feedback, reports, and integrity signals. Results reflect the assessment conditions, submitted responses, scoring criteria, and system operation at a point in time.

Automated systems and assessments have limitations. Results may contain errors, may require review, and do not capture every skill, context, qualification, or characteristic. No score, certificate, or report guarantees employment, promotion, admission, licensure, regulatory acceptance, job performance, or any other outcome.

Results are informational inputs and should not be the sole basis for a high-impact decision. Organizations are responsible for interpreting results in context, applying lawful and job-related criteria, offering review or accommodations when appropriate, and making final decisions.

Intellectual property and feedback

The Services—including software, interfaces, workflows, designs, text, graphics, audio, assessment materials, question banks, scoring methods, models, reports, trademarks, and documentation—are owned by SCSI or its licensors and protected by intellectual-property and other laws. Except for the limited right granted in these Terms, no right or license is granted by implication or otherwise.

If you provide ideas, suggestions, or other feedback about the Services, you grant SCSI a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without restriction or compensation, provided we do not identify you publicly without permission.

Your content, customer data, and privacy

You retain any ownership rights you have in content you submit. You grant SCSI and its service providers the rights reasonably necessary to host, copy, transmit, process, analyze, display, and otherwise use submitted content to provide, secure, support, enforce, and improve the Services as described in the Privacy Policy and any applicable customer agreement.

You represent that you have all rights, permissions, and lawful bases needed for content and personal information you provide. You may not submit confidential third-party information, protected health information, payment-card data, or other regulated data unless SCSI has expressly agreed in writing to receive it.

SCSI may use aggregated or de-identified information for analytics, validation, research, benchmarking, security, and service improvement, subject to applicable law and contractual restrictions.

Fees and third-party services

Fees

Fees, taxes, payment terms, renewals, cancellation rights, and refund terms are governed by the applicable order, customer agreement, or checkout terms. Unless those terms say otherwise, fees are nonrefundable to the extent permitted by law.

Third-party services

The Services may link to or interoperate with third-party services. SCSI does not control and is not responsible for third-party services, content, terms, or privacy practices. Your use of them is governed by their own terms.

Availability, changes, suspension, and termination

We may maintain, update, modify, suspend, or discontinue features of the Services. We do not guarantee uninterrupted availability or that every feature will remain unchanged. We will use reasonable efforts to avoid unnecessary disruption where practical.

We may suspend or terminate access, invalidate results, or remove content when reasonably necessary to address nonpayment, security or legal risk, suspected fraud or cheating, harm to the Services or others, or a material breach of these Terms. You may stop using the Services at any time. Terms that by their nature should survive will survive, including confidentiality, intellectual property, disclaimers, liability limits, indemnity, and dispute provisions.

Warranty disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, ASSESSMENTS, CONTENT, SCORES, FEEDBACK, REPORTS, AND CERTIFICATES ARE PROVIDED "AS IS" AND "AS AVAILABLE." SCSI AND ITS LICENSORS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

SCSI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; THAT RESULTS WILL BE ACCURATE OR ACCEPTED BY A THIRD PARTY; OR THAT THE SERVICES WILL MEET A PARTICULAR LEGAL, EMPLOYMENT, EDUCATIONAL, LICENSING, OR BUSINESS REQUIREMENT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCSI AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID SCSI FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT OR (B) US $100.

These limitations apply regardless of the form of action and even if a remedy fails of its essential purpose. They do not limit liability that cannot lawfully be limited, including rights you may have under applicable consumer law.

Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless SCSI and its affiliates, officers, directors, employees, agents, licensors, and service providers from claims, losses, liabilities, damages, judgments, costs, and reasonable attorneys' fees arising from or related to:

• your content or data;
• your unlawful or unauthorized use of the Services;
• your violation of these Terms or another person's rights; or
• an organization's administration of assessments or use of results, including its notices, accommodations, or employment and other decisions.

SCSI may control the defense of a covered claim, and you agree to reasonably cooperate. This section does not require an individual consumer to indemnify SCSI where prohibited by law.

Disputes and governing law

Before filing a claim, you and SCSI agree to make a good-faith effort to resolve the dispute informally. Send written notice describing the dispute and requested resolution to the contact below. Either party may seek urgent injunctive or equitable relief when necessary to prevent immediate harm, misuse, or infringement.

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Subject to any controlling customer agreement and mandatory law, the state and federal courts located in Los Angeles County, California will have exclusive jurisdiction, and each party consents to venue there.

General terms

• Export and sanctions. You may not use the Services in violation of United States export-control or sanctions laws.
• Assignment. You may not assign these Terms without SCSI's written consent. SCSI may assign them in connection with a reorganization, financing, merger, acquisition, or sale of assets.
• Force majeure. SCSI is not responsible for delay or failure caused by events beyond its reasonable control.
• Severability and waiver. If a provision is unenforceable, it will be modified to the minimum extent necessary, and the remainder will continue. A waiver must be written and is not a continuing waiver.
• Electronic communications. You consent to receive agreements, notices, disclosures, and other communications electronically, where allowed.
• Entire agreement. These Terms, the Privacy Policy, any applicable customer agreement, order, and assessment rules are the complete agreement about the Services and replace prior discussions on that subject.

Changes and contact

We may update these Terms to reflect changes in the Services, business, or law. The effective date above identifies the current version. If a change is material, we will provide additional notice where required. Changes apply prospectively when posted or on the stated effective date. Your continued use after that date constitutes acceptance, except where law requires another form of consent.
